incorporating Asset Purchase Agreements, Security Agreements, Leases, Loans (Conventional or SBA) and Liquor License transfers; prepare and review Contracts, Franchise Agreements, Stock Purchases and Sales/Redemptions.
General Business & Corporate
Represent business entities in all phases, from pre-formation to formation, administration, ongoing operation, sale/merger, and winding up.
Counsel on and prepare pre-formation Confidentiality Agreements, choice and formation of entity (“S” or “C” Corporation, LLC, LLP, Partnership, Sole Proprietorship).
Represent entities in ongoing operation including corporate/company administration; Shareholders’/ Operating Agreements;
Contracts; Employment or Independent Contractor/ Consulting Agreements; Confidentiality/Nonsolicitation/ Noncompete Agreements; qualification to do business in foreign state/ jurisdiction; trademark applications; state tax issues including Sales/Use Tax and Corporation Business Tax; Certification as Minority, Women, or Small Business Enterprise.
Represent terminating entities including via sale of assets, Stock or Membership Interest; Mergers/ Joint Ventures; Cancellations, Dissolutions and Winding Up.
Zoning & Planning
Represent Commercial and Residential applicants before Zoning Boards
of Adjustment, Planning Boards and other agencies on Use Variance, Conditional Use Variance, Site Plan Approval, Subdivision and various other forms of relief.
Coordinate with architects, engineers, planners; municipal, county and state officials; negotiate with solicitors, engineers, planners on all application issues including bonds, COAH, environmental obligations, conservation easements.
Present applications at public hearings; follow up including review and
comment on resolutions and coordination with municipal Zoning Board of Adjustment and Planning Board Solicitors, county and state officials.
Estate Planning & Administration
Preparation of Wills, Living Wills, Powers of Attorney, Trusts, integration of business succession planning with Estate Planning;
Administration of Estates from probate through marshaling of assets, payment of debts, filing of Estate Tax Returns
and Estate Income Tax Returns, distribution, winding up and closure;
Administration of Trusts
General Personal Representations
Municipal court, personal legal matters.
